Matilda was born about 1092 in Brittany, France.  Matilda's father was Earl Etienne de Penthievre of Richmond and her mother was Hawise de Guingampe Sourdeval.  Her paternal grandfather was Count Eudes de Penthievre of Brittany and her paternal grandmother is Princess Agnes de Cornouaille. She had a brother and two sisters, named "the Black", Agnoric and Olive.  She is the second oldest of the four children.

‌Matilda and Walter were married in a religious ceremony about 1113 in Folkingham, Lincolnshire, England.  They had two sons and three daughters, named Robert, Gilbert, Agnes, Alice and de Gand.
