Matilda was born in 1169 in Cavenby, Lincolnshire, England.  Matilda's father was Lord William de Caisneto of Horsford and her mother was Albreda de Poynings.  Her paternal grandfather was Robert FitzWalter and her paternal grandmother is Sibyl de Caisneto; her maternal grandfather was Sir Adam ("the Elder") de Poynings and her maternal grandmother is Beatrice de Sussex. She had three sisters named Matilda, Sarah and Margaret.  She is the second youngest of the four children.

‌Matilda and Warine were married in a religious ceremony in 1189.  They had a son named Henry.
